In these Terms & Conditions (the “Agreement”), the following expressions shall have the meanings set out below:
“Agreement” refers to this document – the terms and conditions outlined herein, inclusive of any amendments made from time to time.
“KidLocale Limited”, “Company”, “we”, “us”, and “our” refer to KidLocale Limited and its affiliates.
“Advertiser” or “you” refers to the individual, business, company or other legal entity that has contracted with KidLocale Limited to advertise their products, services, events or activities through the Site/App.
“User” refers to any individual or entity that accesses and uses the Site/App, whether registered or not.
“Registered User” refers to users who have created an account with KidLocale Limited.
“Services” refers to the advertising and related services offered by KidLocale Limited, including the listing and promotion of products, services, events and activities relevant to families and children, together with any additional or updated services provided from time to time.
“Site” or “Website” refers to the KidLocale Limited website at www.kidlocale.co.uk.
“App” refers to the KidLocale Limited mobile application.
“Content” refers to all information, data, text, images, graphics, logos, media or other materials uploaded, posted, published, supplied or displayed on the Site/App by KidLocale Limited, Advertisers or Users.
“Confidential Information” refers to all information disclosed by KidLocale Limited to the Advertiser that is marked confidential or would reasonably be considered confidential.
“Subscription” refers to the recurring monthly advertising package purchased by the Advertiser.
“Subscription Term” means each one-month period of access to the Services, commencing on the date payment is received and automatically renewing unless cancelled in accordance with this Agreement.
“Fees” means all charges payable by the Advertiser in connection with the Services, as set out on the Website from time to time.
“Renewal Date” means the date on which a Subscription Term renews for a further one-month period and the date on which payment for the renewed Subscription becomes due.
“Effective Date” means the date on which the Advertiser first purchases or accesses the Services, whichever occurs earlier.
“Intellectual Property Rights” or “IPR” means all patents, copyrights, trademarks, service marks, designs, database rights, trade secrets, know-how and all similar or equivalent rights, whether registered or unregistered, including applications and renewals, worldwide.
“Force Majeure Event” means any event beyond a party’s reasonable control, including but not limited to acts of God, flood, storm, epidemic or pandemic, industrial disputes, failure of telecommunications or internet services, or actions of governmental authorities.
“Business Day” means a day other than a Saturday, Sunday or public holiday in Scotland.
For the purpose of clarity, the words “hereof”, “herein”, “hereto”, and “hereunder” refer to this Agreement as a whole. The terms “include” and “including” are not limiting. Words importing the masculine include the feminine and neuter, the singular includes the plural and vice versa, and “person” includes any body corporate or unincorporated.
SERVICES
KidLocale Limited provides advertising and promotional services for businesses, clubs, events and activities aimed at families and children across the United Kingdom (the “Services”). The specific features, inclusions, visibility and duration of each Service are determined by the advertising package selected by the Advertiser at the date and time of checkout, whether purchased as a monthly or annual Subscription.
KidLocale Limited may, from time to time, introduce new services or features, modify existing Services, or discontinue any Services. Any such changes shall take effect when published on the Website. Continued use of the Services shall constitute acceptance of such changes.
The Advertiser acknowledges and agrees that:
a) KidLocale Limited does not guarantee any minimum number of views, clicks, enquiries, traffic or commercial outcomes resulting from the Services; b) Access to the Website and Services may occasionally be unavailable due to maintenance, technical issues or Force Majeure Events, and no guarantee of uninterrupted uptime is provided; and c) KidLocale Limited may impose reasonable limits on storage, content uploads, image quantity or other usage factors to ensure fair and consistent use of the Services.
Business Conduct
KidLocale expects all advertisers to conduct their business lawfully, professionally, and in a manner that upholds trust with families using the platform.
Legal Compliance Advertisers must comply with all applicable laws and regulations in Scotland and the wider UK, including (but not limited to):
Consumer protection laws
Trading Standards requirements
Health and safety regulations
Licensing obligations relevant to the services they provide
Accuracy of Information Advertisers must ensure all information provided—such as prices, descriptions, images, qualifications, and claims—is accurate, honest, and not misleading. They must update their listing promptly if any information changes.
Quality of Service Advertisers must deliver services with reasonable care and skill, in accordance with the Consumer Rights Act 2015. Any complaints raised by customers should be handled fairly and promptly.
Prohibited Content & Activities Advertisers may not use KidLocale to promote or engage in:
Illegal or unsafe activities
Harmful, discriminatory, or offensive content
Misrepresentation of qualifications, experience, or services
Pyramid schemes or high-risk financial activities
Anything that could reasonably harm KidLocale’s reputation
Standards of Behaviour Advertisers must act respectfully and professionally in all interactions with KidLocale users and staff. Harassment, abuse, or unethical behaviour is not permitted.
Right to Remove or Suspend Listings KidLocale reserves the right to remove or suspend any listing, without refund, if an advertiser:
Breaches the Terms & Conditions
Provides misleading information
Generates repeated complaints
Damages user trust or KidLocale’s reputation
Subscriptions & Fees
Subscription Options KidLocale offers advertising on a monthly or annual subscription basis, depending on the package selected at checkout. By purchasing a subscription, the advertiser agrees to the fees and billing cycle displayed at the point of purchase.
Included Features The subscription includes the features, benefits, and listing options as they exist at the date and time of checkout for the chosen package. KidLocale may introduce new features or adjust existing ones over time, but purchased features will not be removed during the active subscription period.
Payment Terms
All fees are payable in advance.
Payments are processed via the secure third-party payment provider used by KidLocale.
Subscriptions will only activate once payment has been successfully processed.
4. Auto-Renewal All subscriptions automatically renew at the end of each billing cycle (monthly or annually). Advertisers must provide at least 14 days’ notice of cancellation before the renewal date to prevent the next payment being taken. KidLocale does not guarantee that notification of upcoming auto-renewals will be issued. It is the advertiser’s responsibility to manage and monitor their renewal dates.
Cancellation & Refunds
Advertisers may cancel their subscription at any time; however, no refunds are issued for partial months or unused time.
The listing will remain active until the end of the paid-for period.
Pricing Changes KidLocale reserves the right to update subscription pricing.
Any pricing changes will apply from the next renewal date.
Advertisers will receive reasonable notice of any change in accordance with UK consumer law.
Non-Payment or Failed Payment If a renewal payment fails or is not completed:
The advertiser will be notified, and KidLocale may attempt to process payment again.
Listings may be suspended or removed if payment is not resolved within a reasonable timeframe.
Service Availability (“Uptime”) KidLocale aims to keep the website available and functioning reliably. However:
“Uptime” refers to the percentage of time the website is accessible and operational.
While reasonable efforts are made to maintain high uptime, KidLocale cannot guarantee uninterrupted access due to maintenance, updates, or technical issues outside our control.
Invoices & VAT If applicable:
VAT will be added to all fees at the prevailing UK rate.
Advertisers will receive invoices or receipts suitable for business records.
Listing Content & Intellectual Property
Advertiser-Provided Content Advertisers may submit text, images, logos, links, and other materials (“Content”) for inclusion in their listing. They are solely responsible for ensuring that:
The Content is accurate, lawful, and not misleading.
They hold the rights, permissions, licences, or authority necessary to use and publish the Content.
The Content does not infringe the intellectual property rights of any third party.
KidLocale’s Right to Use Content By submitting Content, the advertiser grants KidLocale a non-exclusive, worldwide, royalty-free licence to:
Display the Content on KidLocale.co.uk
Use it within search results, categories, and filters
Feature the listing or Content in marketing materials, newsletters, social media, and promotional campaigns
Resize, crop, or adjust Content for technical purposes or to fit the platform’s design
This licence lasts for the duration of the advertiser’s active subscription and for a reasonable period thereafter for archival, backup, and legal compliance purposes.
Content Standards All Content submitted must adhere to the following standards:
No offensive, discriminatory, explicit, defamatory, or harmful material
No false claims or deceptive marketing
No unauthorised use of copyrighted materials
No promotion of illegal activities
No content likely to cause reputational harm to KidLocale
Editing, Moderation & Removal KidLocale reserves the right (but is not obliged) to:
Review and moderate Content before or after publication
Request corrections or changes
Remove Content that breaches these Terms & Conditions
Refuse publication of Content deemed unsuitable for a family-focused directory
Removal may occur without refund if the Content breaches legal or ethical guidelines.
Intellectual Property of KidLocale All intellectual property on the KidLocale platform — including the website design, branding, layout, copy, search tools, data, and technology — remains the sole property of KidLocale or its licensors. Advertisers may not:
Copy, reproduce, or republish any part of the platform
Scrape data or listings
Use KidLocale branding without written permission
Backup & Data Retention KidLocale may retain copies of Content for:
Backup and technical purposes
Compliance with legal obligations
Proof of historical listing status This does not affect the advertiser’s IP ownership.
Website Use & Availability
Access to the Website KidLocale provides access to its website and directory on an “as available” basis. While we aim to maintain reliable access, we do not guarantee:
That the website will be uninterrupted or error-free
That defects will always be corrected
Any minimum level of website performance beyond what is reasonable for online services in the UK
Acceptable Use Advertisers and users must not:
Attempt to gain unauthorised access to any part of the website or server
Interfere with the security, performance, or integrity of the website
Use automated tools (e.g., scraping, bots, harvesting tools) without written permission
Upload malicious code, viruses, or harmful materials
Use the website in any way that may damage KidLocale or interfere with other users’ experience
Technical Requirements Access to the website may depend on:
A stable internet connection
Compatible devices and browsers
Third-party systems (e.g., hosting providers, payment processors) KidLocale is not responsible for any unavailability caused by these external factors.
Maintenance & Updates KidLocale may perform scheduled or emergency maintenance. This may temporarily restrict access to:
The website
Advertiser dashboards
Editing or updating listings Where possible, maintenance will be timed to minimise disruption, though availability cannot be guaranteed.
Data Loss & Backups While KidLocale takes reasonable steps to protect data, advertisers acknowledge that:
No system is completely immune to failure
Some technical issues may result in temporary or permanent loss of data
Advertisers are encouraged to keep their own copies of important information (e.g., images, listing text)
Suspension of Access KidLocale reserves the right to suspend access to the website or specific accounts where:
There is suspicion of misuse, hacking, or security risks
An advertiser breaches these Terms & Conditions
Payment has not been received Suspension may occur without prior notice if immediate action is required for security or legal reasons.
Third-Party Links & Integration The website may contain links to third-party websites. KidLocale is not responsible for:
Content on external websites
Their availability or security
Any issues arising from their use Advertisers use third-party sites at their own discretion and risk.
Content Standards & Advertiser Responsibilities
Advertiser Responsibility for Content Advertisers are fully responsible for all content submitted to KidLocale, including:
Text, descriptions, pricing, and claims
Images, logos, and videos
Contact details, schedules, and booking information
Any links to third-party sites or social media
Advertisers warrant that all content:
Is accurate, lawful, and up to date
Does not mislead users
Complies with UK consumer protection law (including the Consumer Protection from Unfair Trading Regulations 2008)
Does not violate any copyrights, trademarks, or intellectual property rights
Is appropriate and professional for a family audience
Approval & Moderation Rights KidLocale reserves the right (but not the obligation) to:
Review, approve, edit, or reject content before or after publication
Remove or disable content that is inaccurate, misleading, inappropriate, offensive, or in breach of these Terms
Request amendments to ensure compliance with legal, safety, or quality standards
These actions may be taken with or without prior notice, depending on urgency.
Prohibited Content Advertisers must not upload or promote content that:
Contains obscene, offensive, discriminatory, or defamatory material
Promotes unsafe or illegal activities
Targets children in a way that breaches UK advertising rules or safeguarding expectations
Includes unauthorised use of third-party images, logos, designs, or branding
Contains false or unverifiable claims
Links to harmful, misleading, or malicious websites
Accuracy & Updates Advertisers agree to promptly update their listing if:
Contact details change
Prices or availability change
Events are cancelled or rescheduled
Business information becomes outdated
KidLocale is not responsible for monitoring or correcting changes on behalf of the advertiser.
Intellectual Property Compliance Advertisers confirm that they own or have permission to use:
Logos
Photos
Descriptions and written content
Any branded materials
The advertiser indemnifies KidLocale against all claims, costs, or liabilities arising from:
IP infringement
Misrepresentation
Unauthorised use of copyrighted materials
No Guarantee of Visibility or Results While KidLocale will publish listings according to the selected package, the advertiser acknowledges that:
Visibility may vary depending on search terms, platform usage, and seasonal trends
KidLocale does not guarantee a minimum number of views, leads, bookings, or sales
Performance depends on multiple factors outside KidLocale’s control
User-Generated Content If users can submit reviews, ratings, or comments, KidLocale:
Is not responsible for the opinions or statements of users
May moderate, edit, hide, or remove user-generated content
Will comply with UK defamation and moderation guidelines when handling disputes or removal requests
Liability
Limitation of Liability To the fullest extent permitted by Scottish law, KidLocale Limited shall not be liable to the Advertiser, whether in contract, delict (tort), negligence, breach of statutory duty, or otherwise, for any:
Loss of profits, revenue, business, or anticipated savings
Loss of data, content, or materials
Loss of goodwill, reputation, or business opportunity
Indirect or consequential losses of any kind
arising out of or in connection with the Advertiser’s use of the Services.
No Guarantee of Outcomes KidLocale makes no guarantee regarding:
Visibility levels
Numbers of leads, enquiries, bookings, or sales
Website traffic or engagement
Impact on the Advertiser’s business performance
The Advertiser acknowledges that results may vary based on factors outside KidLocale’s control.
Service Interruptions & Technical Issues KidLocale is not liable for:
Temporary unavailability of the Website or App
Errors, delays, or interruptions caused by third-party providers (hosting, payment processors, etc.)
Issues arising from internet connectivity, device compatibility, or software failures
Reasonable efforts will be made to restore access where disruptions occur.
Accuracy of Advertiser-Provided Information The Advertiser is solely responsible for ensuring that all submitted content is accurate, lawful, and up-to-date. KidLocale is not liable for any loss or damage resulting from inaccurate or misleading information supplied by the Advertiser.
Compliance With Law KidLocale provides a platform but does not verify the legality, safety, or suitability of the Advertiser’s activities, events, or services. The Advertiser is responsible for complying with all applicable UK and Scottish laws, including:
Consumer protection legislation
Advertising regulations
Safeguarding expectations
Health and safety obligations
Nothing in These Terms Excludes Liability For:
Death or personal injury caused by negligence
Fraud or fraudulent misrepresentation
Any liability that cannot be excluded under Scottish law
Maximum Liability Cap If KidLocale is found liable for any reason, the maximum total liability shall not exceed the total subscription fees paid by the Advertiser in the 12 months preceding the claim. This is standard for UK digital service providers.
Indemnity
The Advertiser agrees to fully indemnify, defend, and hold harmless KidLocale Limited, its directors, employees, agents, and affiliates from and against any and all claims, demands, actions, proceedings, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
Breach of These Terms Any actual or alleged breach by the Advertiser of these Terms & Conditions.
Content Provided by the Advertiser Any claim relating to:
Inaccurate, misleading, defamatory, or unlawful content
Business Activities of the Advertiser Any claims relating to the Advertiser’s services, products, events, or business practices, including:
Health and safety issues
Consumer complaints
Breach of applicable UK/Scottish laws or regulatory requirements
Violations of safeguarding expectations when dealing with children and families
Conduct of Advertiser Personnel Any act or omission by the Advertiser’s employees, volunteers, contractors, or representatives.
Third-Party Claims Any claim brought by a third party arising from the Advertiser’s use of the Services or presence on the KidLocale platform.
Data & Technical Issues Any loss or claim arising from viruses, malware, faulty uploads, or other harmful content transmitted through the Advertiser’s materials.
Costs of Enforcement All costs incurred by KidLocale in enforcing this indemnity, including legal and administrative costs.
This indemnity will survive termination or expiry of the Agreement.
Term and Termination
Term of the Agreement This Agreement begins on the date the Advertiser completes checkout and remains in force for as long as the Advertiser has an active subscription or continues to use the Services.
Termination by the Advertiser The Advertiser may terminate their subscription by providing notice in accordance with the cancellation terms.
For subscriptions to end without renewing, the Advertiser must give at least 14 days’ notice prior to the renewal date.
Cancellation will take effect at the end of the current paid period.
No refunds will be provided for partial months or unused time unless required by law.
Termination by KidLocale KidLocale may terminate this Agreement or suspend access to the Services immediately if:
The Advertiser breaches these Terms and fails to remedy the breach within 30 days of receiving written notice;
The Advertiser uploads illegal, harmful, or inappropriate content;
Payment fails or remains overdue;
The Advertiser engages in conduct that damages KidLocale’s reputation or poses a safeguarding concern;
Required background information or checks reveal a risk to users.
Immediate Termination for Serious Misconduct KidLocale reserves the right to terminate without notice in cases of:
Suspected criminal activity
Safeguarding concerns
Fraud or misrepresentation
Repeated violations of content standards
Legal or regulatory requirements
Effect of Termination Upon termination:
The Advertiser’s listings and content may be removed from the Website;
Access to advertiser tools and features will end;
Any outstanding fees remain payable;
Indemnity and liability clauses will continue to apply.
Survival of Certain Terms The following sections survive termination:

Auto-renewal and cancellation obligations
Content and IP rights
Liability
Indemnity
Governing Law & Dispute Resolution
No Automatic Refunds Termination by either party does not entitle the Advertiser to a refund for any unused portion of the subscription, except where required by UK consumer law.
Geography / Jurisdiction
Intended Use The KidLocale directory, Website, and Services are intended for use by individuals and businesses located within the United Kingdom, with primary focus on Scotland. KidLocale does not guarantee that the content or Services will be appropriate, lawful, or available for use in any other jurisdiction.
Access from Outside the UK If an Advertiser accesses the Services from outside the UK:
They do so at their own risk;
They are responsible for compliance with local laws;
KidLocale accepts no liability for any issues arising from international use.
Governing Law These Terms and any dispute, claim, or interpretation arising out of or in connection with them shall be governed by and construed in accordance with the laws of Scotland.
Jurisdiction The parties agree that the Scottish courts shall have exclusive jurisdiction to settle any dispute or claim (including non-contractual disputes or claims) arising from or in connection with this Agreement.
Logos and Imagery
Accuracy of Branding The Advertiser must upload the correct and current logo, branding, and imagery that accurately represents their business, event, or service.
Ownership & Permissions By uploading any images, logos, graphics, or media (“Imagery”), the Advertiser warrants that:
They own the Imagery or
They have valid authorisation or licence from the rights holder to use it.
This includes professional photography, stock images, brand assets, and any third-party creative materials.
Intellectual Property Rights (IPR) The Advertiser confirms that the Imagery does not infringe any third-party:
Copyright
Trademarks
Design rights
Moral rights
Database rights
Any other relevant IPR
Indemnity for IP Issues The Advertiser agrees to fully indemnify KidLocale for all costs, damages, or claims arising from:
Intellectual property infringement
Misuse of logos or branded assets
Objections from third parties
Complaints of misrepresentation or consumer confusion
This includes legal fees, settlement costs, and administrative time.
Content Moderation KidLocale reserves the right to:
Remove or request replacement of any Imagery that appears low quality, misleading, inappropriate, outdated, or unprofessional
Replace or temporarily hide Imagery that breaches these Terms or does not align with KidLocale’s brand standards
This may be done with or without prior notice depending on urgency.
Use of Imagery by KidLocale By uploading Imagery, the Advertiser grants KidLocale a non-exclusive, royalty-free licence to use that Imagery for:
Displaying their listing
Promoting KidLocale’s platform
Social media showcases, newsletters, marketing examples (where relevant or beneficial to the Advertiser)
KidLocale will not materially alter branding without permission.
Accuracy and Representation The Advertiser is responsible for ensuring that the Imagery does not mislead users about:
The nature of the business or event
Facilities or features available
The age range suitability
Safety or accessibility
Linking to KidLocale
Permission to Link Advertisers and third parties may link to the KidLocale home page provided that:
The link is created in a fair, legal, and non-misleading manner
It does not damage KidLocale’s reputation
It does not take unfair advantage of the KidLocale brand or platform
No False Association The link must not:
Suggest any form of association, approval, partnership, or endorsement by KidLocale where none exists
Misrepresent the relationship between KidLocale and the Advertiser
Restrictions on Linking You must not:
Establish a link from any website not owned or fully controlled by you
Frame KidLocale’s Website on another site
Create links to any part of the Website other than the home page unless expressly permitted in writing
Use the KidLocale logo, branding, or imagery for linking without written permission
Right to Withdraw Linking Permission KidLocale reserves the right to withdraw linking permission at any time and without notice. Upon request, you must remove all links to the Website immediately.
Requests for Extended Use If you wish to:
Link to internal pages of the Website, or
Use KidLocale content beyond what is permitted above
You must obtain prior written consent by contacting hello@kidlocale.co.uk.
Removal of Material and Links
KidLocale’s Right to Request Link Removal KidLocale reserves the right, at any time and for any reason, to request that you remove:
All links to the KidLocale Website, or
Any specific link deemed inappropriate or harmful.
Upon receiving such a request, you agree to remove the relevant link(s) immediately.
Advertiser’s Right to Request Content Removal The Advertiser may request the removal of:
Content relating to their business, event, or services
Links to their website or social channels
Images, logos, or promotional material they own or control
KidLocale will remove such content within a reasonable timeframe, typically within 5 business days, unless:
It is required for legal, financial, or compliance purposes; or
The Advertiser is subject to an ongoing dispute or investigation linked to the content.
KidLocale’s Right to Remove Content Independently KidLocale may, at its sole discretion, remove, disable, or edit any content without notice if:
The content breaches these Terms
It is inaccurate, out-of-date, misleading, inappropriate, harmful, or unprofessional
There is a safeguarding concern or legal risk
A third-party complaint is received (e.g., IP infringement, defamation)
It conflicts with KidLocale’s quality standards or brand protection requirements
Impact of Removal Removal of content may impact the visibility, ranking, or completeness of the Advertiser’s listing. KidLocale is not liable for any:
Loss of visibility
Loss of enquiries or traffic
Consequential damages arising from the removal of content in accordance with these Terms.
Recordkeeping & Compliance KidLocale may retain archived copies of removed content for:
Legal compliance
Audit trails
Internal recordkeeping
These archived copies will not be publicly displayed.
Force Majeure
Definition of Force Majeure Event A “Force Majeure Event” means any event or circumstance beyond a party’s reasonable control, including but not limited to:
Acts of God (flood, storm, earthquake)
Fire or explosion
War, terrorism, civil unrest, or armed conflict
Epidemics, pandemics, or public health emergencies
Strikes, lockouts, or other industrial disputes
Failure of utility services, internet, or telecommunications networks
Government actions, restrictions, or regulations
Failures of third-party hosting or service providers
Any other event outside the reasonable control of the affected party
Suspension of Obligations Neither party shall be in breach of this Agreement, nor liable for delay or failure to perform obligations, if such delay or failure is caused by a Force Majeure Event.
Extension of Time Where a Force Majeure Event occurs, the affected party shall be entitled to a reasonable extension of time to fulfil its obligations.
Notification The party affected by a Force Majeure Event shall:
Notify the other party as soon as reasonably practicable;
Provide details of the expected impact and duration;
Use reasonable efforts to mitigate the effects of the event.
Right to Terminate Either party may suspend or terminate this Agreement with immediate effect upon written notice if:
The Force Majeure Event prevents the other party from performing its obligations for four consecutive weeks; and
The disruption continues or is likely to continue.
No Liability for Force Majeure Neither party shall be responsible for any losses, damages, or delays caused by a Force Majeure Event.
